Terms & Conditions (Practitioner Portal)

This Practitioner Referral & Commission Policy (“Policy”) governs participation in ACEND’s Practitioner Referral Program (“Program”). By enrolling in or participating in the Program, you agree to comply with this Policy and all incorporated terms, including our Terms of Service and Privacy Policy, plus any program guidance provided within the Practitioner Portal.
1. Program Purpose
The Program is designed to support ethical practitioner referrals by providing a practitioner-specific code/link that helps patients/clients purchase ACEND products and enables practitioners to receive commission on eligible, verified referral sales.
Important: The Program is not intended to compensate medical advice, clinical endorsement, patient steering, or any activity that violates professional standards or applicable law.
2. Eligibility & Enrollment
To participate, you must:Be at least 18 years old.
- Be at least 18 years old.
- Be a qualified practitioner (e.g., MD/DO, NP, PA, ND, RD/RDN, PharmD, DC, or other credentialed healthcare professional or clinic).
- Provide accurate account and payout information.
- Comply with all applicable laws and professional regulations (including advertising and privacy rules).
We may request credential verification and may approve or reject any application at our discretion.
3. Key Definitions
“Practitioner”: A participant approved for the Program.
“Customer”: A purchaser who completes an order on ACENDhealth.com.
“Practitioner Code”: A unique code assigned to you for checkout attribution.
“Practitioner Link”: A unique tracked URL assigned to you.
“Qualified Purchase”: An eligible, completed purchase that is not excluded under this Policy.
“Net Sales”: Order subtotal (excluding shipping, taxes, duties, tips) minus discounts, refunds, chargebacks, and fraudulent orders.
“Commission”: Percentage-based payout on Qualified Purchases calculated on Net Sales.
“Chargeback”: A payment reversal initiated by a cardholder or payment processor.
4. Tracking & Attribution
A referral is attributed to you when a customer uses your Practitioner Code at checkout and/or your Practitioner Link (cookie-based tracking).
4.1 Attribution Priority
If multiple referral sources are present, ACEND applies the following priority order unless otherwise stated in the Practitioner Portal:
- Practitioner Code entered at checkout.
- Most recent eligible referral cookie.
4.2 Tracking Limitations
Tracking may be affected by ad blockers, browser privacy settings, cookie deletion, incorrect link formatting, platform outages, or third-party tracking limitations. We are not responsible for tracking failures outside our reasonable control.
5. Commission Structure
A referral is attributed to you when a customer uses your Practitioner Code at checkout and/or your Practitioner Link (cookie-based tracking).
5.1 Commission Basis
Commissions are calculated on Net Sales for Qualified Purchases. Shipping, taxes, duties, and tips are excluded.
5.2 Monthly Commission Tiers
Practitioners may qualify for tiered commission based on attributed Net Sales per calendar month from Qualified Purchases:
- Base Tier: 10% of Net Sales.
- Silver Tier: 15% of Net Sales when attributed Net Sales reach $500/month.
- Gold Tier: 20% of Net Sales when attributed Net Sales reach $1,000/month.
Tier Calculation: Tiers are evaluated monthly. Your tier applies to Qualified Purchases in that month. If you do not meet the threshold in a subsequent month, your rate reverts to the applicable tier for that month.
6. Peer Referral “Thank You Gift”
Practitioners may be eligible for a one-time $25 Thank You Gift when a referred peer practitioner:
- Successfully enrolls and is approved, and
- Completes four (4) Qualified Purchases (or generates the equivalent qualifying activity shown in the Practitioner Portal).
The Thank You Gift is separate from standard commissions and is not issued for self-referrals or duplicate accounts.
7. Payouts
7.1 Payout Schedule
Payouts are issued monthly, typically within [15–30] days after the close of the month to allow for returns, cancellations, and chargebacks.
7.2 Minimum Payout Threshold
We may require a minimum accrued balance of [$50] before issuing payout.
7.3 Payment Method
Payouts are made via [PayPal / bank transfer / Stripe Connect / other] as configured in the Practitioner Portal.
7.4 Taxes & Reporting
You are responsible for all applicable taxes arising from commissions and rewards. You may be required to submit tax forms (e.g., W-9) if you meet reporting thresholds.
8. Returns, Refunds, Chargebacks, and Adjustment
sIf an attributed order is refunded, partially refunded, cancelled, or charged back, related commission may be reversed or deducted from future payouts and/or deemed ineligible as a Qualified Purchase. ACEND reserves the right to withhold payouts if we reasonably suspect fraud, policy violations, or abnormal purchase behavior.
9. Compliance Requirements (Practitioner-Specific)
9.1 No Disease-Treatment Claims
You may not state or imply that ACEND products diagnose, treat, cure, mitigate, or prevent any disease. Do not make drug-like claims in patient/client communications, marketing, or public content. ACEND medical foods are intended for the dietary management and support of a condition and/or disease.
9.2 Ethical Referral Conduct
You may not:
- Represent commissions as clinical endorsement.
- Suggest ACEND replaces medical care or prescribed therapy.
- Condition clinical care on purchase of ACEND.
- Use misleading claims, fake testimonials, or “guarantees.”
9.3 Privacy & Patient/Client Data
You must comply with applicable privacy and professional rules (e.g., HIPAA/UK GDPR/other). Do not share protected health information with ACEND or third parties for the purpose of tracking referrals. Use only the approved code/link and portal reporting tools.
10. Required Disclosures (FTC / Advertising Compliance)
Where required, you must clearly disclose your material relationship with ACEND when recommending or promoting products, using plain language such as:
“I may earn a commission if you purchase through my practitioner code/link.”
Disclosures must be clear, conspicuous, and placed near the code/link in the same communication.
11. Prohibited Marketing & Traffic Practices
You may not:
- Spam or send unsolicited messages (email/SMS/DM) without consent.
- Engage in cookie stuffing, bots, forced clicks, or incentivized clicks.
- Purchase through your own link/code (“self-referral”) or encourage friends/family to do so for commission.
- Post your practitioner code on coupon aggregation sites or deal forums unless explicitly approved in writing.
12. Intellectual Property & Brand Usage
ACEND grants you a limited, revocable, non-transferable license to use approved brand assets solely to promote ACEND under this Policy. You may not modify logos, create confusingly similar marks, or imply employment/partnership beyond your participation in the Program.
13. Suspension, Termination, and Enforcement
We may suspend or terminate your participation immediately if we determine, in our sole discretion, that you violated this Policy or applicable laws, generated fraudulent or low-quality traffic, harmed ACEND’s brand, customers, or partners, or engaged in prohibited medical/claims conduct.
Upon termination:
- Your tracking may be disabled.
- Unpaid commissions may be forfeited if linked to policy violations.
- You must stop using ACEND brand assets.
14. Disputes & Commission Question
sIf you believe a referral was not properly tracked, notify us within [30 days] of the order date and provide supporting details (e.g., referral code/link, date/time, and any available order information). ACEND’s tracking data and internal determination are final.
15. Policy Changes
We may update this Policy at any time. Updated terms will be posted in the Practitioner Portal with a revised Effective Date. Continued participation after updates constitutes acceptance of the revised Policy.
